 Financial structuring advice includes both short term funding structures ie operating and working capital requirements (cash flow), as well as capital structures of companies from a debt and equity perspective. Financial structuring involves a specialised focus on structuring and funding empowerment transactions within the guidelines of the industry sector charters applicable to the South African business environment and empowerment codes of good practice.

Mergers & Acquisitions
Base Capital provides specialised advice to companies considering merger and acquisition opportunities. This advice includes identifying potential merger targets, evaluating the strategic and financial benefits, the valuation of the target company or business, structuring the transaction, capital raising to fund the transaction and negotiating the terms of the transaction on behalf of clients. Base Capital will provide advice relating to transactions that have JSE Securities Exchange South Africa (“JSE”) and the Code of the Securities Regulation Panel (“SRP) implications. All JSE sponsor work will however be referred to one of Base Capitals strategic partners.

Disposals
Advice includes assessing and evaluating the merits of the disposal, valuing the business, identifying potential buyers and negotiation the terms of the disposal on behalf of the client.

Corporate restructuring includes advice relating to shareholding, organisational, business and operational structures. This advice includes investigating potential regulatory and legislative
implications relating to rationalisation and restructuring to allow the company to effectively capitalise on its inherent strengths and competitive advantage.

Advice relating to the developing strategies for the establishment of joint ventures and strategic alliances, corporate defense mechanisms, business growth, mergers and acquisitions, disposals, and restructuring initiatives.

Stock Exchange Listings and Delistings
Advice relating to listing or delisting of companies from the JSE. The advice includes the advantages and disadvantages of the proposed transactions, pricing mechanisms used, and matters relating to the JSE Listings requirements. Base Capital has relationships with various
financial institutions who are JSE Sponsors.

Black Economic Empowerment
